1. Definitions
1.1. "Company" means Azouro Ltd, trading as Azouro and Azouro Portugal, company
registered in Ireland, also with business address in Porto, Portugal.
1.2. "Customer" means the business placing the order.
1.3. "Goods" means the food products and items sold by the Company to the Customer.

2. Scope
2.1. These Terms & Conditions apply exclusively to business-to-business (B2B) transactions. Consumer rights, including withdrawal rights under EU consumer protection laws, do not apply.

3. Orders and Acceptance
3.1. All orders constitute an offer by the Customer to purchase Goods under these terms.
3.2. No order is deemed accepted until confirmed by the Company in writing (including by email).
3.3. Orders may be placed by emailing sales@azouro.com or through the website
at www.azouro.com
3.4. Orders must specify product codes, descriptions, and quantities. The minimum order value is £150.

4. Cancellations and Returns
4.1. Orders cancelled within 48 hours of scheduled delivery may incur a cancellation fee of 25% of the order value.
4.2. Returns are accepted only with prior written approval and must meet the following
conditions:
4.2.1. Goods are in new, unused condition, with original packaging intact.
4.2.2. Return is requested within 48 hours of delivery.
4.2.3. A restocking charge of 20% of the net invoice value applies.
4.2.4. Returns must be accompanied by the original invoice number and reason for
return.

5. Delivery and Risk
5.1. Delivery dates are estimates. The Company is not liable for delay unless exceeding 180 days.
5.2. Risk in the Goods passes to the Customer upon delivery.
5.3. The Company’s dispatch records are conclusive unless discrepancies are reported
within 48 hours.
5.4. The Customer must inspect Goods upon delivery. Shortages or damage must be
recorded on the delivery note, or the delivery must be marked "unchecked."

6. Title and Ownership
6.1. Title to the Goods remains with the Company until full payment is received in cleared funds.
6.2. Until payment, the Customer shall hold Goods in trust and store them separately,
clearly marked as Company property.

7. Pricing and Payment
7.1. Prices exclude VAT and delivery unless stated otherwise.
7.2. Customers without credit accounts must pay in advance.
7.3. No payment is deemed received until cleared funds are confirmed.
7.4. Payment may only be made via direct bank transfer.

8. Late Payment
8.1. Late payments may incur interest.
8.2. In case of late payment, the Company may:
8.2.1. Suspend or cancel deliveries.
8.2.2. Revoke discounts.
8.2.3. Apply referral and administration fees if a debt is passed to a collection agency.
8.2.4. Charge £50 plus VAT for failed transactions.

9. Descriptions and Samples
9.1. Product descriptions, images, and promotional materials are illustrative only.
9.2. Typographical or clerical errors are subject to correction without liability.

10. Food Safety and Compliance
10.1. The Company complies with EU food safety and hygiene laws, including Regulation
(EC) No 178/2002 and 852/2004.
10.2. The Customer must handle and store food products in compliance with applicable
regulations upon receipt.

11. Data Protection and GDPR
11.1. The Company processes personal data in compliance with the General Data
Protection Regulation (EU) 2016/679 (GDPR). See www.azouro.com/privacy for more
details.
11.2. The Customer consents to receiving communications, invoices, and documentation
electronically.

12. Force Majeure
12.1. The Company is not liable for delays or failure due to events beyond its reasonable
control, including strikes, supply issues, transport disruption, or natural disasters.

13. Governing Law and Jurisdiction
13.1. These terms are governed by Irish law.
13.2. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.

14. Amendments
14.1. The Company reserves the right to amend these Terms & Conditions at any time.
